Agreement By subscribing to or using the services, you agree to these terms on behalf of your organisation. Grow50X.ai is operated from In5 Tech, Dubai, United Arab Emirates. ## 2. Services We configure and operate AI voice and chat agents, appointment scheduling, and integrations with third-party CRM and messaging platforms. Scope, channels, volumes and support levels are set out in your order or statement of work. ## 3. Customer responsibilities - Provide accurate business information and lawful contact lists. - Obtain the consents required in your jurisdiction for calling, messaging and call recording. - Keep credentials for connected CRM and messaging accounts secure. - Comply with platform policies of connected providers (e.g. WhatsApp Business policy). ## 4. Acceptable use You may not use the services for unlawful, deceptive, harassing or spam activity, to impersonate a person without disclosure, to process sensitive data we have not agreed to handle, or to attempt to disrupt or reverse-engineer the platform. You also may not: - scrape, crawl or automatically extract content, structure or data from our website or platform beyond normal human browsing; - circumvent rate limits, authentication, tenant isolation or any other technical protection measure; - conduct security probing, penetration testing or vulnerability scanning without our written consent; - attempt to extract, expose or replicate our prompts, system instructions, agent configurations or workflows; - access the services, demos or documentation on behalf of a competitor for the purpose of copying, benchmarking or building a similar offering. ## 5. Fees Fees, currency and billing cycle are stated in your order. Payments are processed by Stripe. Usage-based charges (call minutes, messages, model usage) are billed in arrears. Late payment may result in suspension. ## 6. Third-party services The services depend on telephony, messaging, CRM and AI model providers. We are not responsible for outages, policy changes or pricing changes imposed by those providers, and will work with you to adapt where possible. ## 7. Intellectual property We retain all rights in the platform, prompts, workflows and tooling we develop. You retain all rights in your data, brand assets and content. You grant us the licence needed to operate the services for you. All rights reserved. Our website, software, design, copy, user interface, prompts, agent configurations, automations, documentation and brand assets are our proprietary property and, where applicable, our trade secrets, protected by UAE and international law. Nothing in this agreement grants you any right to copy, mirror, republish, resell, scrape, decompile, reverse engineer or otherwise derive our source code, prompts or system architecture, or to use our materials to create a competing product. No licence is implied beyond the limited right to use the services during your subscription. We may terminate access and pursue all available legal and equitable remedies for breach of this section. ## 8. Confidentiality and data protection Each party protects the other's confidential information. Our handling of personal data is described in the[Privacy Policy](https://grow50x.ai/ar/privacy) and our safeguards in the [Data Security](https://grow50x.ai/ar/security) page. ## 9. AI output disclaimer AI-generated conversations, summaries and content may contain errors. The services are provided as a tool and are not a substitute for professional, legal, medical or financial advice. ## 10. Term and termination Either party may terminate for material breach not cured within 30 days. On termination we will make your data available for export for 30 days, then delete it in line with our retention practices. ## 11. Limitation of liability To the maximum extent permitted by applicable law, the services are provided on an "as is" and "as available" basis, and we disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall Grow50X.ai, its affiliates, officers, employees, contractors, suppliers or licensors be liable for any indirect, incidental, special, punitive, exemplary or consequential loss or damage, or for any loss of profits, revenue, business, goodwill, anticipated savings, data, or business interruption, whether arising in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such loss. **Aggregate liability cap.** Our total aggregate liability for all claims arising out of or relating to these terms or the services, whatever the cause of action, shall not exceed the total fees actually paid by you to us for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event on which the claim is based. Where the claim relates to a service used for less than twelve months, the cap is the fees actually paid for that service to date. Amounts paid by you to third parties (including telecom carriers, advertising platforms, CRM or messaging providers and model providers) and pass-through ad spend are expressly excluded from this cap and from our liability. Setup, onboarding and one-off fees are refundable only to the extent of work not yet performed. This cap applies in aggregate across all claims and is not increased by multiple claims or claimants. You agree that the fees reflect this allocation of risk and that these limitations are an essential basis of the bargain between us. Any claim must be brought within twelve (12) months of the event giving rise to it, after which it is permanently barred. Nothing in this section excludes liability that cannot lawfully be excluded under the laws of the United Arab Emirates, including liability for fraud or wilful misconduct. You are responsible for reviewing AI-generated output and for your own compliance obligations; we are not liable for outcomes, decisions, lost opportunities or regulatory exposure resulting from your use of, or reliance on, the services or their output. ## 12.
